1. Definitions

In these Terms and Conditions: "Service" refers to the legal advisory and consultation services provided by Amaranth Law; "User" or "You" refers to any individual or organisation accessing our website or engaging our services; "We," "Us," or "Our" refers to Amaranth Law, a legal practice registered in Malaysia; "Content" refers to all text, images, and materials published on our website; "Agreement" refers to these Terms and Conditions together with any engagement letter entered into between you and our firm.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under Malaysian law in order to engage our services.

3. Service Description

Amaranth Law provides legal advisory services in three practice areas: Maritime and Admiralty Law Consultation, Cybersecurity Incident Legal Response, and Succession Planning for Family Businesses. These services are available to clients in Malaysia and, where appropriate, to clients with cross-border legal needs that intersect with Malaysian law.

The specific scope, deliverables, and terms of each engagement are set out in a separate engagement letter agreed between you and our firm prior to the commencement of work. These Terms and Conditions apply generally to all engagements and to your use of our website.

4. User Responsibilities

When using our website, you agree to use it only for lawful purposes and in a manner that does not infringe upon the rights of others. You agree not to misuse the website, attempt to gain unauthorised access to any systems, or interfere with the website's functionality.

6. Payment Terms

Fees for our services are denominated in Malaysian Ringgit (MYR) and are set out in the engagement letter for each matter. Published prices on our website represent starting points and may vary depending on the complexity and duration of your matter.

Payment terms, including deposit requirements and billing schedules, are specified in the engagement letter. We accept payment by bank transfer. Invoices are payable within 14 days of issuance unless otherwise agreed in writing. We reserve the right to suspend work on any matter where invoices remain unpaid beyond 30 days.

7. Confidentiality

All information shared with Amaranth Law in connection with a legal engagement is protected by solicitor-client privilege and will be treated as strictly confidential. We will not disclose your confidential information to third parties except as required by law, with your consent, or as necessary for the conduct of your matter (for example, correspondence with courts or regulatory authorities).

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Amaranth Law's total liability for any claims arising out of or related to our services or this website shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

You agree to indemnify and hold harmless Amaranth Law, its partners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms and Conditions, your misuse of our website, or your provision of inaccurate or misleading information in connection with an engagement.

11. Termination

Either party may terminate an engagement by providing written notice to the other party, subject to the terms of the applicable engagement letter. Upon termination, you remain responsible for any fees accrued up to the date of termination.

We reserve the right to terminate an engagement if we determine that a conflict of interest has arisen, if you fail to cooperate with reasonable requests, or if you fail to make agreed payments. In such cases, we will provide reasonable notice and will not prejudice your interests in any ongoing matter.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or related to these terms or our services shall be subject to the jurisdiction of the courts of Malaysia.

Before commencing any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If informal resolution is not possible within 30 days, either party may refer the matter to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.

13. General Provisions

These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and Amaranth Law regarding the subject matter hereof. If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. We may not assign our obligations under these terms without your consent, except in connection with a merger, acquisition, or sale of substantially all of our assets.

14. Changes to These Terms

We may modify these Terms and Conditions from time to time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. Material changes affecting ongoing engagements will be communicated to affected clients directly.
